Miscellaneous Terms of Reference

14.1 Hold Harmless Waiver

    Each IR agrees to indemnify and to hold MapleLeaf CA and all MapleLeaf CA entities, including its parent, affiliates and subsidiaries, harmless from any and all claims, damages and expenses, including legal fees, arising out of the operation of the IR’s business or out of actions or conduct by the IR in violation of the IR agreement.

14.2 Severability

    Should any portion of the Policies and Procedures or the IR Agreement or any other document referred to in these Policies and Procedures be declared invalid, the remaining portions of the IR Agreement and the Policies and Procedures shall continue, at the sole option and discretion of MapleLeaf CA in full force and effect. 

14.3 Construction

    All personal pronouns used in these Policies and Procedures or any other document include the other genders whether used in the masculine, feminine or neuter gender, and the singular shall include the plural, whenever and as often as may be appropriate.
