Signing as an Independent Representative
2.1 IR Requirements
- IRs must be at least 18 years of age or of the legal age of majority in the province in which they reside.
- IRs must have the legal right to conduct business in Canada.
- IRs must register as an IR on the company website, by providing all the necessary information, and agreeing to the terms and conditions on the website.
- IRs must read carefully and agree to be bound by MapleLeaf CA’s Policies and Procedures, their marketing plan and all additional guidelines.
- IRs must be accepted as an IR by the company.
- For this document, “spouses” means married couples or common-law spouses living together for at least one year.
ALL of these requirements must be met in order for you to operate as an authorized Independent Representative.
The new IR’s status as a MapleLeaf CA IR is effective on the application and processing of the registration fee. Upon completion of training, the IR may sign up customers and other IRs.
2.2 Online registration
- All signups, both for service and to become an IR, will be done online.
- Go to www.mapleleafca.ca Fill out the application page.
- Read, and agree to these Policies and Procedures, then hit “submit”.
- A registration fee is necessary to become an IR.
- The IR position is renewable each year from original date of sign-up.
2.3 Payment of Sign-up and Renewal Fees
All payments and fees will be paid to MapleLeaf CA using Visa, MasterCard, Direct Electronic Transfer or Certified Cheque. Other methods of payment may be introduced at a later date.
2.4 Refunds
Except as provided by applicable law or regulation, no IR fee is refundable other than as provided below. A cancellation period of 10(days) is provided for any new IR position. The cancellation period begins on the date that MapleLeaf CA receives the sign-up fee when the IR signs up online. Cancellation will require that an IR wait 6(six) months before reapplying for a new IR position.
2.5 IR Identification number
- Every IR is issued an Identification Number. This number is used to track the IR’s customers and IRs in their business downline.
- When signing up a customer or an IR on the website, IRs will be prompted to enter this number.
2.6 IR Business Name
- An IR’s business will carry the name of the IR, as it was entered it at registration. The earnings received will be issued under the name entered on the website.
- In the event that an IR wishes to participate in the opportunity under a registered business name, the business name may be entered in the “first name” field followed by the Associate’s full name in the “last name” field.
2.7 Business and Legal entities as Independent Representatives
- A business may apply to become a MapleLeaf CA IR by submitting on the application the tax identification number, signed by the person having authority to bind the business. The business must also provide copies of their business documents as follows:
- Partnership and Limited Liability Partnerships: copy of partnership agreement and certificate of Limited Liability Partnership filed with the appropriate authority in the province (if applicable)
- Limited Liability Companies: Limited Liability Company charter and or operating agreement filed with appropriate authority with that province
- Corporations: Corporate charter and or Articles of Incorporation with appropriate authority associated with that province.
- Trusts; Trust Agreement
- Proprietorship doing business under an assumed name: Certificate of Fictitious Name, if required in the province where the business is located.
- Charitable or Non-Profit Organization: Organization’s corporate charter, Articles of Incorporation, Articles of Association, Constitution or other enabling document. Federal Government acknowledgement of exempt status.
Members of the Business entity are jointly and severally liable for any indebtedness or other obligations to MAPLELEAF CA
2.8 IR Mailing address
- The address provided when IRs register will be used as the mailing address for all relevant purposes. It must be their residence address or business address.
- IRs must also provide a physical address if either of the addresses above is a box number.
2.9 Change of Address
IRs must report any change of address by changing their personal information on the website, or by mail to: MapleLeaf CA 100, Boul. Alexis-Nihon, Bureau 283, St. Laurent PQ H4M 2N7
- If mail is returned because of an address change that MapleLeaf CA has not been notified of, the IR may be placed on an inactive status until the situation is resolved
2.10 Changing Personal Information
An IR can change personal information on the website. A user-friendly interface will allow IRs to modify personal and contact information at any time. It is important that this information be up-to-date at all times.
2.11 Family members within the same household
MapleLeaf CA does not forbid the holding of an IR position by members of the same family who are members of the same household, or of family or who live at the same address.
2.12 Marriage
MapleLeaf CA permits a husband and wife (including common-law spouses) to operate either separate or joint positions in MapleLeaf CA In the case of a joint position, each must agree to be bound by the Policies and Procedures and each is responsible for all conduct in operating their MapleLeaf CA IR position. . In the case of a violation of the Policies and Procedures, the position will be at risk and both will be responsible for the violation.
2.13 Claims of Employment
- MapleLeaf CA IRs are independent contractors; this makes them responsible for their own business, which also makes them responsible for social insurance, payment of income, and all other taxes applicable to their situations.
- If a MapleLeaf CA IR is an employer, in no way will his/her personnel be considered employees of MapleLeaf CA This makes MapleLeaf CA IRs responsible for the direction, supervision, and training, salary of personnel (including withholding of income taxes and social insurance premiums), disability benefits, workers compensation payments, and compliance with all other laws applicable to employers in respect of all employees of the IR.
- MapleLeaf CA IRs are not agents, employees, or legal representatives of MapleLeaf CA and cannot represent themselves as such.
- MapleLeaf CA IRs have no authority to legally bind MapleLeaf CA or its affiliates, officers, directors, or employees
2.14 MapleLeaf CA Right of Offset
MapleLeaf CA does not require an IR to subscribe to any MapleLeaf CA service in order to become a MapleLeaf CA IR. However, should an IR select MapleLeaf CA as the IR’s internet, long distance or other service, billing must be paid when due. If an account is 60 (sixty) days past due, MapleLeaf CA reserves the right to deduct the amounts owed from the payment due the IR at MapleLeaf CA ’s sole discretion, and MapleLeaf CA may terminate the IR position.
2.15 Contractual Obligations
- MapleLeaf CA IRs are responsible for managing the choice of time and the activities and effort spent on their MapleLeaf CA IR Business Opportunity without direction or control by MapleLeaf CA
- MapleLeaf CA IRs are responsible for any expense which results from their business operations.
- MapleLeaf CA IRs may not involve MapleLeaf CA in any contractual relationships relating to their business.
- MapleLeaf CA IRs are prohibited from signing any contract, renting or leasing office space or equipment, opening a bank account, securing credit, cashing any negotiable instrument, making purchases or entering into agreements of any kind in the name or on the behalf of MapleLeaf CA unless explicitly authorized by MapleLeaf CA
- MapleLeaf CA IRs shall hold harmless MapleLeaf CA and its affiliates from any claims, liabilities, or damages that may occur from operating the MapleLeaf CA IR Business Opportunity.
- Independent Representatives are not permitted to communicate with third parties (vendors, suppliers, etc…) that are engaged in business activities with our company. All business communications, with third parties, will be conducted by the company. IRs may face consequences that could result in, but are not limited to, legal action or forfeiture of commissions, or termination of the association with the company
2.16 Corporate mailing guidelines
While most communication will be online, occasionally using the mail is necessary. If a deadline falls on a weekend, or a holiday, documents must be received on the previous business day. It will be considered normal for mail to take 4 business days to reach its destination.
